Welcome to Chativon.com! These Terms of Service ("Terms") establish a binding agreement between you ("You") and Chativon Inc. ("Company," "Chativon," "we," or "us") and apply to the use of our website, chativon.com (the "Website"), as well as any related applications (the "App") operated on behalf of Chativon, collectively referred to as the "Services." The Services encompass all content, tools, features, and functionalities provided on or through our Website and App.

By accessing and/or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. It is important to carefully review these Terms, as they contain crucial information regarding your legal rights. If you do not comprehend or consent to these Terms, please refrain from using the Services.

For the purpose of these Terms, "you" and "your" refer to the user of the Services. If you are using the Services on behalf of a company or another entity, then "you" includes both yourself and that entity. By agreeing to these Terms, you represent and warrant that (a) you are an authorized representative of the entity with the power to bind it to these Terms, and (b) you agree to these Terms on behalf of the entity.

Important: These Terms include an arbitration clause and class action waiver. By accepting these Terms, you agree (a) to settle any disputes with us through binding individual arbitration, thereby relinquishing your right to have those disputes adjudicated by a judge or jury, and (b) to waive your participation in class actions, class arbitrations, or representative actions. You retain the right to opt-out of arbitration, as explained below.

Use of the Services

Registration Obligations. In order to access and utilize certain features of the Services, you may be required to complete a registration form. By choosing to register, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form. Please note that your registration data and certain other information are governed by our Privacy Policy. If you are under 13 years old or an EU citizen or resident under 16 years old, you are not permitted to register and use the Services.

Member Account, Password, and Security. You are solely responsible for maintaining the confidentiality of your password and account, if applicable, and you assume full responsibility for all activities that occur under your password or account. You agree to (a) immediately notify Chativon of any unauthorized use of your password or account or any other security breach, and (b) ensure that you log out of your account at the end of each session when accessing the Services. Chativon will not be held liable for any loss or damage arising from your failure to comply with this provision.

Modifications to the Website. Chativon reserves the right, at its sole discretion and with or without notice, to modify or discontinue the Services (or any part thereof) temporarily or permanently. You acknowledge and agree that Chativon shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Conditions Of Use

By using the Services, you agree to comply with our Acceptable Use Policy ("AUP"), which is incorporated into these Terms. Additionally, you are required to adhere to the following conditions when utilizing the Services. You are solely responsible for all content, including but not limited to code, videos, images, information, data, text, software, music, sound, photographs, graphics, messages, or other materials ("Content") that you upload, post, publish, display, email, or transmit via the Services. Please note that your use of the Services may be subject to license and use restrictions outlined in the CreativeML Open RAIL-M License. It is important to understand that the following examples constitute illegal or prohibited Content and/or use as determined by Chativon. Chativon reserves the right, at its sole discretion, to investigate and take appropriate legal action against any individual who, in Chativon's view, violates this provision. This may include removing offending Content from the Website or Services, suspending or terminating the account of the violator, and reporting them to relevant law enforcement authorities.

You agree not to use the Website or Services to:

Upload or transmit any Content that: (i) Infringes upon the intellectual property or proprietary rights of any party. (ii) You do not have the legal right to upload under any law or contractual or other agreements. (iii) Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of computer software, hardware, or telecommunications equipment. (iv) Poses or creates privacy or security risks to any individual. (v) Constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other form of solicitation. (vi) Is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of someone else's privacy, hateful, racially, ethnically, or otherwise objectionable. (vii) Is determined to be objectionable by Chativon or which restricts or inhibits any other person from using or enjoying the Website or Services, or which may expose Chativon or its users to any form of harm or liability.
Interfere with or disrupt the Website, Services, or servers or networks connected to them, or disobey any requirements, procedures, policies, or regulations of such connected networks.
Violate any applicable local, state, national, or international laws or regulations
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
Solicit personal information from individuals under the age of 18.
Harvest or collect email addresses or other contact information of other users from the Website or Services through electronic or other means for the purpose of sending unsolicited emails or other communications.
Advertise or offer to sell or buy any goods or services for any unauthorized business purpose.
Further or promote any criminal activity or enterprise or provide instructional information about illegal activities.
Obtain or attempt to access or obtain any materials or information through any means not intentionally made available or provided for through the Website or Services.
Lease, lend, sell, or sublicense any part of the Services.
Circumvent any technological measures designed to protect the Services or associated technologies.
Reverse engineer, disassemble, decompile, decode, adapt, or attempt to derive or gain access to any source code of the Services, in whole or in part, unless expressly permitted by an open-source license governing such code.
